Terms and Conditions

Welcome to GoRide! These Terms and Conditions ("Terms") govern your access to and use of the GoRide mobile application (the "App") and all related services provided by ENE Company Limited ("GoRide," "we," "us," or "our").
Please read these Terms carefully before using the App. By accessing or using the App and Services, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you do not agree to these Terms, you may not access or use the App or Services.
1. Definitions
- App: The GoRide mobile application for users.
- Services: All services provided through the App, including Ride-Hailing, Cargo/Transporter Services, Car Sharing (Carpool), Car Rental, SOS features, and payment processing.
- User/Rider: Any individual who registers an account and uses the GoRide App to request or utilize Services.
- Driver: An independent third-party service provider who offers Ride-Hailing, Car Sharing, or Car Rental services through the App.
- Transporter: An independent third-party service provider (individual or company) who offers Cargo/Transporter Services through the App.
- Wallet: The in-app digital balance where Users can accumulate funds from rewards/shares or deposit money for use in paying for Services.
- Cargo Tender: A request created by a User for the transportation of goods, specifying details for Transporters to bid on or accept.
- Carpool: A feature allowing Users to share a ride with other Users going in the same general direction, potentially with multiple pickups/drop-offs.
- Emergency Contacts: Pre-selected contacts designated by the User to be notified in case of an emergency via the SOS feature.
- Rewards/Incentives: Monetary or non-monetary benefits provided to Users by GoRide, typically upon completion of certain actions (e.g., rides).
2. Account Registration and Eligibility
- 2.1. Eligibility: You must be at least 18 years old to create an account and use the Services. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
- 2.2. Account Creation: To use most Services, you must register for and maintain an active personal User account. You agree to provide accurate, complete, and up-to-date information during the registration process and to maintain the accuracy of your account information.
- 2.3. Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify GoRide immediately of any unauthorized use of your account. GoRide is not liable for any loss or damage arising from your failure to maintain the security of your account.
3. GoRide Services Overview
GoRide provides a platform connecting Users with independent third-party service providers (Drivers and Transporters) for various transportation and related services. You acknowledge that GoRide does not provide transportation services directly and is not a transportation carrier.

3.1. Ride-Hailing (General)
- Allows Users to request on-demand or scheduled rides with Drivers.
- The App determines your pickup location and allows you to set a destination.
- Fares are estimated and displayed before booking.

3.2. Cargo/Transporter Services (B2B Cargo)

Cargo Tender Creation: Users can create Cargo Tenders by providing specific and accurate information about the cargo, including but not limited to:
- Clear pictures of the items.
- Accurate capacity/weight in Tones.
- Exact number of items.
- Short, precise descriptions of the cargo.
- Detailed onload and offload service instructions.
You are solely responsible for the accuracy of this information. Any discrepancies may lead to delays, additional charges, or cancellation of the service.
- Transporter Acceptance: Transporters can view, bid on, or accept Cargo Tenders.
- Service Instructions Confirmation: Both the User (shipper) and the Transporter/Driver must confirm adherence to the attached service instructions at both the onload and offload points of the cargo. This confirmation is recorded within the App.

Payment Structure:
- Advance Payment: A pre-determined advance payment, as specified in the Cargo Tender, must be made by the User upon the loading of the cargo and before the Transporter/Driver commences the trip. The Transporter/Driver will not start the trip until this advance payment is confirmed.
- Final Payment: The remaining full payment for the cargo transportation service must be finalized by the User immediately after the Transporter/Driver reaches the drop-off/offload location and the cargo is successfully offloaded and confirmed.

3.3. Car Sharing (Carpool)
- Enables Users to find and join rides with other Users traveling in the same general direction.
- Users may be picked up at the start of the trip or en route.
- It is understood that Users participating in Carpool may have different final destinations, provided they are along the shared route.
- Fares for Carpool rides are calculated based on the shared distance and number of passengers.

3.4. Car Rental
- Allows Users to access vehicles for rent from independent owners who meet GoRide's rental standards.
- User Verification: Access to the Car Rental feature is contingent upon successful user verification, which may include identity checks, driving license validation, and other security measures as determined by GoRide.
- Rental terms, pricing, and vehicle availability are set by the individual owners and displayed in the App.
4. Payments and Wallet
- 4.1. Fare Calculation: Fares for all Services are calculated based on factors including distance, time, demand (surge pricing), ride type, and any applicable tolls or surcharges. Estimated fares are provided before booking.

4.2. Payment Methods: GoRide supports the following payment methods:
- Cash: Direct payment to the Driver/Transporter upon completion of the Service.
- Wallet: An in-app digital balance. Funds can be accumulated through Rewards/Incentives or deposited by the User.
- Wallet Deposits: Users can deposit funds into their Wallet using available payment gateways.
- Wallet Usage: Wallet balance can be used to pay for any Services available through the App.
- 4.3. Cargo Payment Specifics: As detailed in Section 3.2, Cargo Services require an advance payment on load and final payment on offload. Failure to complete these payments will result in the suspension of Services.
- 4.4. Cancellation Fees: Cancellation fees may apply if you cancel a Service after a Driver/Transporter has been dispatched or is en route, as per our cancellation policy outlined in the App.
5. Incentives and Rewards
- 5.1. Earning Rewards: GoRide offers incentives and rewards to Users upon the successful completion of eligible rides or Services. The specific criteria for earning rewards are determined by GoRide and may vary.

5.2. Reward Conditions: Rewards are typically credited to your in-app Wallet.
- Trip Completion: Rewards are only issued for trips that are fully completed and confirmed by the system.
- Cancellations: Any User who cancels a trip, regardless of the reason, will not be eligible for rewards pertaining to that specific trip. Our algorithm detects the provided destination and trip completion status to determine reward eligibility.
6. Safety and SOS Feature

6.1. Emergency SOS: The App includes an SOS feature for use in emergencies.
- Emergency Contacts: You have the option to add multiple emergency contacts within the App. In an emergency, if you activate the SOS feature, the App will use your designated primary contact to trigger calls or send SOS messages.
- Direct Emergency Services: The SOS feature also provides an option to directly call 112 (the local police/emergency number) for immediate assistance.
- GoRide Intervention: Upon activation of the SOS feature, GoRide's safety team is alerted with your location and trip details, allowing us to intervene and offer support or coordinate with emergency services.
- 6.2. User Responsibility: The SOS feature is for genuine emergencies only. Misuse of the SOS feature may lead to account suspension or termination.
7. User Conduct and Responsibilities
- 7.1. Lawful Use: You agree to use the App and Services only for lawful purposes and in accordance with these Terms.
- 7.2. Accuracy of Information: You are responsible for ensuring the accuracy of all information you provide in the App, especially regarding Cargo Tenders (pictures, capacity, number of items, descriptions, and instructions). GoRide is not responsible for issues arising from inaccurate information provided by you.
- 7.3. Confirmation of Instructions: For Cargo Services, you must diligently confirm the attached service instructions at both onload and offload points as required by the App.
- 7.4. Respectful Conduct: You agree to treat Drivers, Transporters, other Users (in Carpool), and GoRide staff with respect.

7.5. Prohibited Activities: You agree not to:
- Use the App for any fraudulent or illegal activity.
- Impersonate any person or entity.
- Harass, abuse, or harm another person or entity.
- Interfere with the proper working of the App.
- Attempt to gain unauthorized access to any part of the App or its related systems.
8. Driver and Transporter Interaction
- 8.1. Confidentiality of Details: The personal contact details of Drivers and Transporters remain strictly confidential and are not shared with Users.
- 8.2. In-App Communication: All communication between Users and Drivers/Transporters regarding a trip or service must occur exclusively through the in-app chat or call features. Attempting to obtain or use direct contact information outside the App to facilitate rides/cargo services is a violation of these Terms and may lead to account suspension.
- 8.3. Favorite Driver Feature: The App allows you to save a Driver as a "Favorite." The App may then suggest your Favorite Driver for future trip requests. However, availability is not guaranteed, and the App will automatically search for other available Drivers if your Favorite Driver is unavailable.
9. Data and Privacy
- 9.1. Privacy Policy: Your collection, use, and sharing of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the data practices described in the Privacy Policy.
- 9.2. Saved Destinations: For your convenience, the system automatically saves your final destinations and recent trip destinations. This feature allows for quicker trip requests in the future by suggesting these locations.
10. Intellectual Property
All intellectual property rights in the App and Services, including but not limited to copyrights, trademarks, and trade secrets, are owned by ENE Company Limited or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes in accordance with these Terms.
11. Disclaimers and Limitation of Liability
- 11.1. "AS IS" Basis: The App and Services are provided "as is" and "as available," without any warranties of any kind, either express or implied. GoRide does not guarantee that the App will be uninterrupted, error-free, or free of viruses or other harmful components.
- 11.2. Third-Party Providers: GoRide connects Users with independent third-party Drivers and Transporters. GoRide does not employ Drivers or Transporters and is not responsible for their acts, omissions, or negligence. Any issues with the service provided by a Driver or Transporter should be reported to GoRide, but GoRide's liability is limited to facilitating the connection.
- 11.3. Limitation of Liability: To the maximum extent permitted by applicable law, GoRide shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; or (d) unauthorized access, use, or alteration of your transmissions or content.
12. Indemnification
You agree to indemnify and hold harmless ENE Company Limited, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the App and Services; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any privacy or intellectual property right; or (d) your violation of any applicable law, rule, or regulation.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of [Country/Jurisdiction where ENE Company Limited is registered], without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively in the courts located in Dar es Salaam, Tanzania.
14. Changes to Terms
GoRide reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms.
